December 16, 1976 Mr. George J. Hartnett, Jr. 3316 Congress Street Allentown, Pennsylvania 18104 Dear Mr. Hartnett: Thank you for your letter of December 10 and particularly for your kind remarks about the performance of Utah and its management. Yours was a thoughtful letter and it set forth more clearly than other correspondence I have received the reservations that some shareholders had regarding the merger proposal. There are risks in doing something and there are risks in doing nothing and whether the shareholder ultimately will fare better with Utah standing alone or merged with General Electric is a matter of judgment at this time. The results indicate that the great majority of the shareholders favored the merger approach as did the Board of Directors. As you know, this was my best judgment and I am a substantial shareholder. Even though we found ourselves in disagreement as to which was the better course, I do very much appreciate your letter and hope that my faith in the future of General Electric will make the decision the shareholders took yesterday a wise one.
